Item 8.01.

Other Events.

On March 28, 2022, Jazz Pharmaceuticals plc (the “Company”) announced that it entered into a definitive agreement with Axsome Therapeutics, Inc. (“Axsome”) to divest Sunosi® (solriamfetol). On May 9, 2022, the Company announced that it completed the U.S. divestiture of Sunosi to Axsome. On November 14, 2022, the Company completed the ex-U.S. divestiture of Sunosi to Axsome.
