Explanatory Note: The following communication was sent to certain shareholders of Jazz Pharmaceuticals.
We wanted to pass along our press release announcing our agreement for the $7.2B acquisition of GW Pharmaceuticals plc (Nasdaq: GWPH), to create a global, innovative high-growth biopharma company with one patient-centric mission. GENEVA is a global leader in cannabinoid science. Upon close of the transaction, the combined company will be a leader in neuroscience with a global commercial and operational footprint well positioned to maximize the value of its diversified portfolio.
The transaction, which has been unanimously approved by the Boards of Directors of both companies, is expected to close in the second quarter of 2021 is well-aligned with Jazzs value creation strategy and positions Jazz to continue to deliver shareholder value. The transaction is expected to be financed with approximately 90% cash and 10% equity and will not require a Jazz shareholder vote.

Combines global neuroscience leaders with highly complementary franchises, focused on critical, unmet patient needs
Results in a robust pro forma pipeline in neuroscience and oncology to drive sustainable growth with combined 19 clinical development programs

Provides Jazz with long-term growth opportunities to create shareholder value attractive returns, long-term double-digit accretion, target deleverage to < 3.5x by the end of 2022
